1. Eligibility
Entrants age 18 or older residing in the United States who have an
active email account and internet access as of the beginning of this
Contest are eligible to participate. Employees and agents of Freedom
Force Properties LLC, d/b/a Irrational Games ("Irrational Games"), its
officers, parent companies, affiliates and subsidiaries (collectively,
with Irrational Games, the "Sponsor"), and members of their immediate
families (parents, children, siblings, spouses) and/or persons living
in the same households as such persons, whether related or not, are
ineligible to enter the Contest and cannot win prizes. This Contest
is void where prohibited. Contestants are responsible for compliance
with applicable laws in jurisdictions where they reside.
Participation in the Contest constitutes entrant's full and
unconditional agreement to and acceptance of these Official Rules
("Official Rules").
2. To Enter
You may enter the Contest by submitting the following to us: your hero
name, super power, description of the character (short, 100 words or
less) and origin story of the character (250 words or less).
Entrants may also submit, but it is not mandatory, an image or images
of their hero (totaling no more than 1 MB in size). Submissions must
be in English. This Contest is limited to only one submission per
person.
Entries may be submitted by email (see link below.)
Incomplete submissions will not be accepted.
All entries must be the property and original creations of the
entrants, must not infringe any intellectual property rights of
others, must not contain any intellectual property not owned by the
entrant and must be free and clear of any claims or encumbrances.
Entrants agree to indemnify and hold harmless Sponsor from any
copyright, trademark or other intellectual property infringement claim
or liability with regard to their submissions. Entrants acknowledge
that Sponsor has created, is currently creating and will in the future
create characters and related material for its interactive
entertainment software. Therefore, entrant recognizes that his or her
submission may be identical with or similar to such material and
entrant agrees that he or she will not be entitled to any compensation
whatsoever by reason of Sponsor's use of such similar or identical
material, whether in whole or in part. In addition, Sponsor is under
no obligation to maintain the confidentiality of any submission.
3. Prizes
The prizes to be awarded from the Contest are as follows:
One Grand Prize Winner
The grand prize winning entry will be used in the upcoming "Freedom
Force vs. The Third Reich" computer game, and the grand prize winner's
name will be included in the end credits. The winner will also
receive: a free copy of "Freedom Force vs. The Third Reich" and a
personalized "Freedom Force" sketch from the character designer.
Retail value of approximately $150.
Five Runner Up Winners
Five runners-up winners will receive a free copy of "Freedom Force
vs. The Third Reich" when the retail version becomes available.
Retail value of approximately $40 each.
All costs, taxes, fees and expenses associated with entry into this
Contest and any prizes received shall be the sole responsibility of
the entrants and winners. To the extent required by law, Sponsor
reserves the right to withhold a portion of winnings for applicable
taxes. No cash or other substitution of prizes is permitted. Sponsor
will not replace any lost or stolen prizes. Approximate total value
of all prizes to be awarded: $350.
Entrants acknowledge and agree that if their entry is selected as
the grand prize winning entry, for no additional consideration, the
character will become the sole and exclusive property of Irrational
Games in perpetuity. The potential grand-prize winner must sign a
"Certificate of Authorship" before being determined a winner.
4. Judging
All Contest entries meeting the requirements of these Official Rules
will be entered into the prize judging, to be held on or around
November 30, 2004. Judging will be by a panel comprised of
representatives from Sponsor, whose decisions will be final and
binding on all entrants. The winners will be selected based on the
creativity and originality of their character, how well the character
fits into the Freedom Force world and what distinguishes their
character from other heroes.
Judges reserve the right to disqualify any entry which is, in any
individual judge's sole discretion, inappropriate. Sponsor reserves
the right, in its sole discretion, to disqualify winners and to chose
alternate winners if information contained in the submission
cannot be verified to Sponsor's sole satisfaction, if the winner
refuses to abide by the Official Rules or if the selection of a
particular entrant would, in Irrational Games' sole opinion, harm
Irrational Games' or any Sponsor's reputation.
5. General Rules
Entrants agree to accept and abide by the Official Rules of this
Contest and agree that any dispute with regard to the conduct of the
Contest, rule interpretation, or award of prizes, shall be submitted
to Irrational Games, whose decisions shall be binding and final.
Entries not satisfying these Official Rules will be automatically
disqualified. Sponsor reserves the right to award prizes to alternate
entries as it deems suitable in the event any entry is deemed
ineligible, as determined by Sponsor in its sole discretion.
By participating, entrant agrees to release and hold harmless Sponsor
and its parent companies, affiliates, subsidiaries, service agencies,
independent contractors, and the officers, directors, employees,
investors, agents, and representatives of any of the above
organizations from any and all injury, loss, or damage to person,
including death or property, due in-whole or in-part, directly or
indirectly, to the acceptance from or use/misuse of a prize or
participation in any promotion-related activity.
Sponsor is not responsible for any typographical or other error in the
printing of these Official Rules, in the administration of the
Contest, or in the announcement of prizes or for any late, lost,
delayed, incomplete, or misdirected entries, responses, or other
correspondence, whether by e-mail or postal mail or otherwise, or for
theft or destruction or unauthorized access or alterations of entry
materials, phone, electrical, network, computer, hardware, software
program or transmission malfunctions, failures or difficulties.
In the event that Sponsor is prevented from continuing with the
promotion, or the integrity and/or feasibility of the promotion is
severely undermined by any event beyond Sponsor's control, including
but not limited to fire; flood; epidemic; earthquake; explosion; labor
dispute; strike; act of God; public enemy act; satellite or equipment
failure; riot or civil disturbance; war (declared or undeclared);
terrorist threat or activity; any federal, state, or local
governmental law, order, or regulation; order of any court or
jurisdiction; or other cause not reasonably within Sponsor's control
(each a "Force Majeure" event), Sponsor will have the right, in their
sole discretion, to abbreviate, modify, suspend, cancel, or terminate
the promotion without further obligation. If Sponsor, in its sole
discretion, elects to abbreviate the promotion as a result of a Force
Majeure event, Sponsor reserves the right, but not the obligation, to
award prizes from among all eligible entries received up to the date
of such Force Majeure event. Sponsor reserves the right, in its sole
discretion, to cancel, modify or suspend the Contest in whole or in
part, in the event of fraud, technical or other difficulties or if the
integrity of the Contest is compromised, without liability to any
entrant.
Except where prohibited, an entrant's submission of entry constitutes
permission for Sponsor to use entrant's name, photograph, likeness,
biographical information, contents of entrant's submission and other
material provided in the entry for any advertising or promotional
purposes, including placing the name of the grand prize winner in the
credits of the "Freedom Force vs. The Third Reich" computer game,
without additional compensation.
This Contest shall be governed as to all matters, including validity,
construction and performance of the Contest Official Rules, by and
under the Laws of the United States of America and the Commonwealth of
Massachusetts and the sole venue for resolving all questions related
the rights of the entrants and winners in this Contest shall be the
courts located in Boston, Massachusetts, United States of America.
Void where prohibited or restricted by law.
6. Winner Notification
Winners will be notified by email within ten (10) business days of the
final judging, and may be required to sign and return a Certificate of
Authorship or an Affidavit of Eligibility and Publicity/Liability
Release (where permitted by law) within five (5) days of notification.
If a selected winner cannot be contacted after a reasonable attempt,
is ineligible, fails to claim a prize and/or where applicable an
Affidavit of Eligibility and Publicity/Liability Release is not timely
received, is incomplete or modified, the prize may be forfeited and an
alternate winner may be selected from the remaining valid, eligible
entries timely submitted. In the event of a dispute regarding who
submitted an entry, the entry will be deemed submitted by the
authorized account holder of the e-mail account specified in the
entry. "Authorized account holder" is defined as the natural person
who is assigned to an e-mail address by an Internet access provider,
online service provider, or other organization (e.g., business,
educational institution, etc.) that is responsible for assigning
e-mail addresses for the domain associated with the submitted e-mail
address.
7. Additional Conditions
All entries and each hero will become property of Sponsor and none
will be acknowledged or returned. Sponsor has the right to modify the
winning hero. Allow 6-8 weeks after commercial release of "Freedom
Force vs. The Third Reich" for delivery of prizes.
8. Winner's List, Official Rules
For a list of prize winners, or a copy of these Official Rules,
send your request and a stamped, self-addressed envelope by December
31, 2004, to Calling All Heroes! Contest, Irrational Games, 125 B
Street, Second Floor, Boston, MA 02127. Residents of Vermont may omit
return postage.
